M&A and restructuring

Conducting due diligence on a production company in a liquidity crisis. Analysis of the causes of the crisis and elimination of the insolvency circumstances: negotiations with creditors and restructuring of the liabilities side. Preparation of the business case for a strategic investor and subsequent sale of the entire company.

Conflict management and company valuation

Mediation in a shareholder dispute. Our activities included the valuation of the shareholdings, the preparation and implementation of an agreement to replace one of the shareholders, subsequent restructuring of the company.

Business planning

Company analysis and preparation of a business plan for a production company (turnover: 13 million, industry: metal construction). Result: Granting of the loan from the house bank. Missing collateral was provided as part of a guarantee by the guarantee bank.

Company analysis and creation of a business plan for a trading company (turnover 1.8 million euros, industry: entertainment electronics). Result: Granting of a current account line with the house bank. Provision of a supplier guarantee by an insurance company.

Cost management

Introduction of cost and performance accounting (in particular contribution margin accounting) at a trading company (turnover 4.5 million euros, industry: toy trade). Analysis of the cost structures of the individual business areas. Result: Abandonment of a business area due to insufficient profitability, reduction of fixed costs in other business areas by 12 percent p.a..

Eastern Europe

Development of the Russian market for a production company (turnover: 25 million euros, industry: window construction). Development of sales channels via local sales partners. Result: Sales increase of 15 percent p.a.

Accounts receivable audit

Audit of a trading company (sales 3 million euros, industry: chemical trade) on behalf of a factoring company. Result: Provision of a financing line.

Factoring

Improvement of factoring conditions by concluding a new factoring contract for a production company (sales 10 million euros, industry: mechanical engineering). Result: Annual savings of 20% of the original factoring costs.
